These Terms and Conditions (“Terms”) govern the sale and export of Nam Dok Mai mango and related products by DelPingo (“DelPingo,” “we,” “us,” or “our”), a company based in Bangkok, Thailand, to any buyer, distributor, or company (“Buyer,” “you”) that places an order with us. By submitting an order, signing a sales contract, or otherwise engaging DelPingo for the purchase of goods, you agree to be bound by these Terms.

1. Definitions

“Goods” means Nam Dok Mai mango and any related products supplied by DelPingo. “Order” means a confirmed purchase agreed between DelPingo and the Buyer, whether by signed contract, purchase order, or written confirmation. “Incoterms” refers to the International Commercial Terms published by the International Chamber of Commerce, as amended from time to time.

2. Quotations and Orders

All quotations provided by DelPingo are indicative and subject to change based on season, grade, and available volume until confirmed in writing. An Order is only binding once DelPingo issues a written order confirmation and, where applicable, receives the agreed deposit. DelPingo reserves the right to decline or limit any Order, including due to insufficient harvest volume.

3. Pricing and Payment

Prices are quoted in the currency and Incoterm stated in the Order confirmation and do not include duties, taxes, or charges imposed by the destination country unless otherwise agreed. Unless a different arrangement is confirmed in writing, our standard payment terms are a 30% deposit upon order confirmation and signed sales contract, with the remaining 70% due before shipment or against a copy of the Bill of Lading (B/L). We accept Telegraphic Transfer (T/T); Letter of Credit (L/C) is available for larger or first-time orders, subject to agreement. Late payment may result in delayed shipment or cancellation of the Order at DelPingo\’s discretion.

4. Delivery, Shipping, and Incoterms

Goods are shipped FOB as standard, unless another Incoterm (such as CIF or DDP) is agreed in writing for a specific Order. Risk and responsibility for the Goods transfer to the Buyer in accordance with the applicable Incoterm. Given the perishable nature of fresh mango, shipment timing is time-sensitive; DelPingo will make reasonable efforts to meet agreed shipping windows but is not liable for delays caused by carriers, customs authorities, weather, or other events outside our reasonable control.

5. Quality, Grading, and Inspection

Goods are graded as Grade A or Grade B according to DelPingo\’s export specifications at the time of packing. The Buyer is responsible for confirming grade, size, and specification requirements at the time of order. Any claim relating to quality or condition of the Goods on arrival must be notified to DelPingo in writing, with supporting evidence (such as photographs and inspection reports), within 48 hours of arrival at the destination port. Claims made after this period may not be considered.

6. Export and Import Compliance

DelPingo will provide standard export documentation, including phytosanitary certificates and other treatment certifications required by the destination country, as agreed for each Order. The Buyer is responsible for compliance with all import laws, permits, tariffs, and phytosanitary requirements in the destination country. DelPingo is not liable for shipments rejected, delayed, or destroyed by customs or quarantine authorities due to the Buyer\’s failure to meet destination country requirements.

Each party is responsible for its own compliance with applicable trade sanctions and export control laws, and DelPingo reserves the right to decline any Order it reasonably believes would violate such laws.

7. Cancellations

Once an Order is confirmed and a deposit is paid, cancellation by the Buyer may result in forfeiture of the deposit to cover costs already incurred by DelPingo, including harvesting, grading, and packing costs. DelPingo may cancel or adjust an Order due to crop failure, adverse weather, or other events affecting harvest volume, in which case any deposit paid for the affected volume will be refunded or applied to a future Order at the Buyer\’s choice.

8. Force Majeure

Neither party is liable for failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including natural disasters, extreme weather, crop disease, pandemic, strikes, war, or government action. The affected party will notify the other as soon as reasonably possible and use reasonable efforts to resume performance.

9. Limitation of Liability

To the maximum extent permitted by law, DelPingo\’s total liability arising from any Order is limited to the value of that Order. DelPingo is not liable for indirect, consequential, or lost-profit damages arising from delayed shipment, quality disputes, or any other matter connected with an Order.

10. Confidentiality

Each party agrees to keep confidential any pricing, contract terms, and business information shared in connection with an Order, and not to disclose such information to third parties without the other party\’s consent, except as required by law.

11. Intellectual Property

All trademarks, branding, product names, and content relating to DelPingo remain the property of DelPingo. Nothing in these Terms grants the Buyer any right to use DelPingo\’s branding without prior written consent.

12. Governing Law and Dispute Resolution

These Terms, and any Order made under them, are governed by the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms or an Order will first be attempted to be resolved amicably between the parties. If not resolved within a reasonable period, the dispute will be submitted to the exclusive jurisdiction of the courts of Thailand, unless the parties agree in writing to arbitration.

13. Amendments

DelPingo may update these Terms from time to time. The “Last updated” date at the top of this page indicates when it was last revised. Terms applicable to a specific Order are those in effect at the time that Order is confirmed.
